Terms of Service

Fair terms for the Measured Logic websites and future Quivel service, with clear limits on what a result means and no waiver of Australian consumer rights.

About these terms

These terms apply to the Measured Logic company website and services, the Quivel website, and the Quivel service when an account, order or access notice expressly incorporates them. A signed order or product schedule may add terms. If they directly conflict, the more specific expressly accepted document controls for that subject.

“Measured Logic”, “we”, “us” and “our” refer to Measured Logic Pty Ltd, the legal operator of the Measured Logic brand and Quivel. Before accepting payment, an order or checkout must also show any Australian business details required for that transaction.

Current service status

Quivel is releasing soon and is not yet offered as a public production service. The public websites provide no account dashboard, sign-in, checkout, live usage, invoices or recurring subscription controls.

Plan shapes shown on the Quivel website describe a future paid service; they are not a binding offer or sale and state no prices. A purchase exists only when a separate order or working checkout identifies the seller, total price and currency, applicable tax, service scope and limits, term, renewal and cancellation rules, and you affirmatively accept it.

Acceptance and eligibility

By using a website, submitting an enquiry, or accepting an account or order that links to these terms, you agree to the parts applying to that activity. Do not proceed if you disagree. Any future account or paid service must record affirmative acceptance of the applicable version.

You must be at least 18, legally able to agree, and authorised to act for any organisation you identify. Use any service access only for applications, systems and data you own or are authorised to use.

What Quivel does—and does not do

Quivel is a web search and context API. It returns ranked results from an index that Measured Logic crawls, stores and ranks itself, exact source passages with citations, character offsets, content fingerprints and a freshness stamp, and clean text read from a public page or document at request time. Live checks can omit sources that are unavailable and the response says when a result is partial.

A result describes what a public source said when it was indexed or checked. It is not a statement that the source is accurate, complete, current after that check, or lawful to use for your purpose. Quivel does not write your application’s answer, and it does not replace your own review of the sources it cites.

Your responsibilities

You are responsible for:

  • reviewing cited sources and results before relying on them or presenting them to your users;
  • respecting the terms, licences and attribution requirements of the sources you use;
  • protecting API keys, devices and any future account, and telling us if a key is exposed;
  • staying within the request and character allowances of your key and not circumventing limits;
  • not using the service to harass, surveil, infringe rights, or access content you are not permitted to access; and
  • performing additional security, legal, safety and production review appropriate to your use.

Quivel results are not professional advice, a security audit, a certification or a substitute for informed human review.

Access, keys and security

Quivel may change before release, and access may later be limited by region, capacity or safety requirements. The website will publish the supported access path and any service limitations before opening.

When API keys become available, they will be shown once at creation. You must keep them secret, use them only from applications you control, and rotate them if exposed. We may revoke a compromised key or proportionately restrict access while addressing an urgent security or abuse risk, with reasons and a review path where practicable.

Content, intellectual property and feedback

You retain rights you hold in your queries, applications and customer content. Material deliberately sent to support is licensed to us only as needed to answer, diagnose, secure or provide the requested service. We do not use your queries or content to train AI models.

Measured Logic and its licensors retain rights in Quivel, its index structure and ranking, the websites, documentation, branding and service materials. Public pages in the index belong to their owners and are served with per-source attribution; indexing respects robots and page directives. Any access right is limited, revocable, non-transferable and only for the authorised use. Nothing overrides rights under applicable open-source licences or law.

Feedback is optional. Unless covered by a separate confidentiality agreement, you allow us to use it to improve products without payment or restriction; that does not transfer your source code or confidential material merely attached for diagnosis.

Third-party sources and services

Search results and passages come from websites and documents operated by others. Their owners provide them under separate terms and licences. Inclusion in the index or a result does not imply affiliation or endorsement, and a source may change or remove content after it was checked.

You must obtain any rights your use of a source requires. We act on legitimate requests from source owners about how their content is indexed or shown.

Measured Logic services: prices and revisions

These points apply when you engage Measured Logic for technical assistance, AI setup, website development or app development. All prices are in Australian dollars and include GST.

Prices and quotes. Technical assistance starts with investigation and troubleshooting at $77 for the first 60 minutes, then $110 per hour. AI setup is priced from our labour rate of $110 per hour and agreed at or after your consultation. Websites start from $149 and apps from $179, each quoted as one price for the finished job rather than by the hour. We confirm the price in writing before work starts. If the labour on a job cannot reasonably be predicted, we explain why, give our best estimate and charge by the hour, keeping you updated.

Revisions and drafts. Website and app development orders include up to 5 rounds of revisions or drafts. Each further 5 rounds cost $145. Revision rounds do not apply to technical assistance or AI setup.

Nothing in this section limits your rights under the Australian Consumer Law.

Fees and future subscriptions

No online payment or recurring subscription is offered today and nothing is billed before public launch. If paid access launches, the accepted order controls the total price, currency, included limits, billing period, taxes, renewal, trial, cancellation and support commitments. We will not auto-renew or charge a payment method unless recurrence, amount or calculation, frequency and cancellation were clearly disclosed and accepted.

Any future billing policy preserves all non-excludable Australian Consumer Law rights.

Availability, suspension and ending access

We may maintain or improve features. For a current paid service, we will not materially remove its core during an already paid term without reasonable notice and an appropriate remedy required by the order or law.

We may proportionately restrict access for illegal use, credible security risk, material breach, non-payment under an actual order, or harm to others or to source websites. Where practicable, we will give notice, reasons and an opportunity to cure or appeal; urgent risk may require immediate action. Accrued rights and provisions intended to survive remain effective.

Consumer rights and liability

Nothing excludes, restricts or modifies a guarantee, right or remedy that cannot lawfully be excluded, including under the Australian Consumer Law. Consumers may have remedies if services lack due care and skill, are unfit for a disclosed purpose, or are not supplied in a reasonable time.

Subject to those rights, any pre-release service access is supplied only for its documented evaluation purpose and disclosed limitations. Neither party is liable for indirect or consequential loss that was not reasonably foreseeable, to the extent law permits. Each remains responsible for fraud, wilful misconduct, breach of confidentiality, infringement, and failure to take reasonable care where liability cannot be limited.

For services not ordinarily acquired for personal, domestic or household use, and only where the Australian Consumer Law permits, liability for a failed consumer guarantee may be limited to supplying the services again or paying the reasonable cost of doing so. Any further cap for a paid business service must appear in the accepted order.

Disputes, applicable law and changes

Contact us first, through the contact form or by email, so we can try to resolve a concern promptly and in good faith. This does not prevent urgent court relief, chargeback rights, regulator complaints or consumer remedies.

Australian law applies together with mandatory law where you live. Because paid access is not live, these website terms do not nominate a governing State or Territory. A future paid order from Measured Logic Pty Ltd must identify the governing Australian State or Territory before payment.

We may update website terms prospectively. Material changes to an active or paid service require reasonable notice and, where appropriate, renewed acceptance. If part is unenforceable it is read down or severed only as necessary. A delay is not a waiver. Version 1.9. Contact [email protected].
